Accounts - C****c PLC

Recommended Posts

By the looks of it, once again their sale of players covered their backs and resulted in a pre taxation profit of £0.5m? Which is better than a loss of £3.9m the year before, but still tells you how much theyy rely on EPL teams buying their stars. Of course, their brand name will safe the day for them (and some CL cash, though probably not the 30m the mhedia was willing to hand them).

Wonder where the 500k they annually have to pay Desmond till his dying day will figure. Paid to his Gibraltar accounts, since he wants to dodge some tax ... (* found it)

And how they will cope with the upcoming 30m Co-op bank loan repayment is anyone's guess, even though they have enough compliant business-folk to find a way.

Wonder too how the report can be used to actually figure out their ST sales last season, but concession and weans STs might thwart that.

*A 6% (before tax credit deduction) non-equity dividend of £0.52m (2015: £0.52m) was paid on 1 September 2016 to those holders of Convertible Cumulative Preference Shares on the share register at 29 July 2016.

Over at the German board, we simply keep track of their shame when it happens, so there ain't much "digging" required. FF also has an extensive thread that keeps up with this.

I haven't got that much an insight into their business matters, but the company incorporated in 2001 was installed by Fergus McCann to ease the pressure off the old company that "runs the club".

IMHO, should OldCo get out of the EBT stuff, we might keep it in a similar way and kill any further mindless debate by the Hooped Horrors. Though not for the sake of the latter.

McCann left in 1999.

As for their newco, it all gets consolidated into the PLC accounts, so it doesn't make a huge amount of financial difference, as far as I can see, although there may be some subtleties along the way that I don't see.

From a board article of December 2012, not my words:

1. Celtic plc - this company was formed in 1897 and was previously known as "The Celtic Football And Athletic Company Limited". Its name changed in 1994 to Celtic plc. It was the football club until a restructuring on 15/2/02 when "aspects of (its) trade" were transferred to Celtic F.C Limited . It continues to own the players (ie pays the transfer fees), Celtic Park and the 1/12 share in the SPL.

However its accounts also states that "Celtic F.C. Limited has the main activity of which is the operation of a professional football club." It admits that the football club IS Celtic F.C Limited.

2. Celtic F.C. Limited - this company was formed in 2001 and was previously HMS (402) Ltd. as mentioned above, it is a professional football club. It receives all the gate money, employs and pays all the wages of the players and other staff. It receives the TV income. It is the company that competes in Europe.

It is also insolvent to the tune of £23 million.

3. The Celtic Football And Athletic Company Limited - This was set up in 1994 and was previously Pacific Shelf 595 Ltd. It is not the football club despite its name. Not much goes through it. It had £80K of turnover in 2010. It was probably set up just to preserve and maintain the old name.

Combined:

Celtic PLC is the parent company - it owns all the assets, holds the memberships and licences. It was formed in 1897. It owns Celtic FC Limited (formerly HMS (402) Ltd - formed in 2001). Celtic FC Limited pays the wages, takes in all the money and is essentially the day-to-day operator of the Club.

Celtic FC Limited doesn't own any of the assets.

So, essentially, Celtic PLC owns the players, but they're paid by Celtic FC Limited.

The Celtic Football and Athletic Company Ltd (Pacific Shelf 595 Ltd - formed in 1994) is owned by Celtic FC Limited, who are, as previously stated, owned by Celtic PLC. It does nothing other than preserve the former name of Celtic PLC prior to public listing.
