New Board Committees

The Board of RIFC has appointed members of its three committees which will assist the board with its responsibilities, in line with the standards expected of an AIM Company. The members of each committee will review the terms of reference which will be published following approval of the Board by the end of January 2014. It is envisaged that Executive Directors will attend, but not be members of, certain committees.

The committees comprise the following members:

Audit Committee:

David Somers (Chairman)

Norman Crighton

Brian Stockbridge (attendee)

Graham Wallace (attendee)

Remuneration and Nominations Committee

James Easdale (Chairman)

Norman Crighton

David Somers

Graham Wallace (attendee)

Investment Committee

Norman Crighton (Chairman)

James Easdale

David Somers

Graham Wallace (attendee)

Fascinating stuff... :D

As they only have so many directors, the important part is the first line, i.e. the person who is responsible for each "department". Stockbridge needs to be in the audit commitee, since he's the one who "rules" over all the figures required. IMHO just some technical, temporary arrangement.

Not sure it needed to be announced to the LSE though but I suppose that's an attempt to show they are looking to introduce governance and accountability (via minuted meetings) which is what we're looking for.

While that is a positive, it also shows we lack numbers on the board. That has to change.

Brian Stockbridge on an Audit Committee?

King Herod and child minding springs to mind.

Maybe, Brian thought it read Audi Committee?

To say nothing of the breathtaking irony in these two lines:

"Remuneration and Nominations Committee

James Easdale (Chairman)"

Looks to me like they are trying to show that Stockbridge isn't heavily involved (they only have him in one committee) but the reality is we know his mucky paws are all over the gaff.

Spivs Out.

I guess that they wouldn't have released details of the committee structures unless they were pretty certain that they have the agm votes in the bag.

Probably more the fact that they can't be criticised at the AGM for not having them in place.
