craig 5,199
Correct me if I'm wrong, but an AGM can do more damage than the current resolution on the table can? Doesn't matter, the EGM proposals could be made at AGM anyway. An EGM is just an AGM at a different point in time (but also doesn't negate the annual need for an AGM). To all intents and purposes an EGM just brings things to the shareholders where you feel waiting for the regular AGM isn't in the company, or shareholders, best interests.

Yeah, but the whole board could be wiped out at the AGM. Three of the five board members are up for the chop under the EGM, and under the resolution only those three can be voted out. But at the AGM, McColl could wipe out the main three, install his two candidates and then go further and vote Harte and Easdale out? That's my understanding from attending such meetings but those were never at this corporate level.

Zappa 0
If it isn't why did McColl and co agree ? Are the as stupid/gullible as you seem to be suggesting ? This is what I've been trying to say though. I don't understand why they've given them 5 days grace as forlan put it. If the club can't afford the £75k for an EGM to resolve this matter, then we're in bigger trouble than I thought!
Zappa 0
Btw, an AGM doesn't legally need to be convened until AFTER the first full set of audited accounts are published and the due date for them isn't until 2014.

Even if only two are replaced at an EGM they are ALL susceptible o be turfed out at the AGM anyway (unless on rotation). Would take shareholder vote to oust them. The EGM and AGM are virtually identical. An AGM must still take place regardless of an EGM.

The AGM can resolve this matter the same way the EGM can
