  10. This has nothing to do with the present board and finance. Somewhere back in the thread, I think it was Frankie that was talking about the risk shown in governance and the flouting of the rules by the previous board, caused Cantor Fitzgerald to decline to represent us - as would, apparently, other NOMADS. "You could say the behaviour of previous directors has poisoned the well with AIM but even so we might have expected a little more understanding from certain quarters." - I think you could say that the present board expected to be represented by their choice of NOMAD. If it was only about money it would have been done. Somebody, behind the scenes, wants their pound of flesh - and in the process cause this present board as many difficulties as possible. I wonder who that could be?

  12. BH I think you are repeating what I said above, i.e. if we have no NOMAD we voluntarily request delisting. These sentences do not refer to AIM. I would say that they present a dilemma for the company, Rangers, in complying with AIM rules. In other words, AIM does not have a problem in that their rules are clear, the problem lies with Rangers being unable to comply with AIM rules. It is up to Rangers to present an acceptable record such that a NOMAD feels that they can represent us in the AIM market. Since Rangers cannot convince a NOMAD to represent us then the problem wholly lies with Rangers and not the AIM market. To whom that responsibility falls on has yet to be proved conclusively, but the indications that we have seen over the past three years would appear to be clear.

I refer you to the company statement ... http://www.rangers.co.uk/news/headlines/item/8954-company-statement ... if you read the first six paragraphs it states quite clearly that according to AIM rules the company had to be suspended from trading when it no longer had a NOMAD representation. We were allowed 30 days to acquire a new NOMAD to represent us. After due diligence from our appointed prospective choice, they would not accept us. Word from AIM was that this view would not change if we tried to get other NOMAD representation. AIM has no choice but to require us to accept delisting under these circumstances. I hope this clears up any circumstances that could have confused any effect.
  14. Yes we do. AIM is requiring us to delist because we do not have a NOMAD. Possible new NOMAD(s) will not accept us as a client because of historical governance of previous boards - according to Murray. What else do we need to know - unless you don't believe Murray?

  16. This thread is already a thirteen-pager but I haven't sensed any panic from forum members about the imminent de-listing. We haven't seen a frenzied statement from any of the institutional investors, any of the fan groups investing, or indeed from any individual with a substantial investment. The good news from the company statement that trading will still take place - "Shareholders who wish to buy or sell ordinary shares in the Company through JP Jenkins must do so via a stockbroker." - seems to have calmed any fears. We knew for a while that Shackleton of WHIreland was not up to task, so their loss will seriously not be missed. In fact I think that the calm reaction to this company statement from all of the major shareholders involved could possibly be looked upon as a reassuring occurence. One almost gets the feeling that Rangers' world is unfolding as it should and that no one who is intimately involved in that unfolding, e.g. King, T3B, etc. are at all surprised by these events, or even dissatisfied by them. As much as the mhedia wish to make this into another crisis, I do believe that calmness is better embraced than freneticism - until that is, the SFA conduct their FPP test on King and Murray.

Smith explained: “I spoke to Jim Hannah about the idea when I was over in Glasgow in April and we had a conference call about it a week later. “The committee was 100 per cent behind the suggestion so it went to the floor at our AGM yesterday morning. “I was hoping someone might make an amendment to my motion to make it a wee bit more and thankfully Graham proposed that. “NARSA is financially stable and it’s brilliant we’re going to be able to donate to a tribute to someone who meant so much to us. “Sandy’s a man who deserves that.   18. There is something quite strange going on here. Deloitte were re-elected as the Company's auditors at the AGM in December! The Companies Act requires auditors to provide a statement as to why they have resigned that is made available to all shareholders as to the reason within 14 days of resignation (unless the Company applies to the court to withhold this information!). Auditor Resignation Under Companies Act 2006 What happens when the auditor resigns? Auditor Notice of Resignation must be accompanied by - Statement of Circumstances [s519] Giving the circumstances or stating there are none Auditor waits 21 days and if company has not objected to the court, sends a copy to Companies House within 7 days [s521] Auditor [on resignation s522] and Company [within 14 days s523] independently send A copy of the Statement of Circumstances with reasons for change in auditor, if there are no Circumstances, sent to: ICAEW – Institute of Chartered Accountants in England & Wales or POB – Professional Oversight Board of The Financial Reporting Council for a major audit. Company Company has 14 days to send on to Companies House [s517] Company has 14 days to object to court or send to shareholders and those who are entitled to receive copies of the accounts [s520] Note - if no circumstances then do not need to send to shareholders. NOTE: s519 also applies when an auditor is not re-appointed at the end of the term of office or removed from office. However, according to the chairman's statement to the stock market - Paul Murray, Interim Chairman of Rangers, commented - "These results are historical and relate to a period before the new Board took office. I wish to draw shareholders' attention to the fact that these interim results have been reviewed by Jeffreys Henry LLP. ‎I have been informed by Deloitte, the existing auditor, that they informed the previous Board of their intention to resign following the June 2014 audit. The previous Board chose not to announce this nor did they find a replacement for Deloitte. With limited time to have these results reviewed the Board asked Jeffreys Henry to perform the exercise as Independent Reporting Accountants, not auditors. They have previously carried out work for the Club and therefore know the finance functions well. The Board will make a further announcement on this subject once we have found a replacement firm for Deloitte." - it sounds rather like Deloitte were gone long before the last two weeks and this had not been reported according to the requirements of the Companies Act. Even if the previous board had applied to the court to withhold this information from the shareholders you woud think that there would be an entry for legal costs. I cannot log in to the Companies House website at the moment, so maybe someone can check if these forms, especially the s519 form has been recorded. There is certainly nothing reported on the Stock Market announcements going back to 2013, unless I missed them, about Deloitte actually resigning. Deloitte, one would expect, would not lend themselves to any devious actions so who is telling porkies here?

  20. This could be a legal quagmire. Bluedell quoted passages from the Companies Act in another thread and I think L & L could reasonably be expected to be charged under that legislation. With their convictions there are various legal arguments under Contract Law that could be used to argue for these contracts to be rescinded. There are also stand-alone arguments to have the contracts rescinded such as Newcastle Utd. 'misrepresenting the facts' before they made the contracts - Gael Bigirimana being diagnosed with an illness condition, Shane Ferguson having a long-term knee injury, Kevin Mbabu and Remi Street having other injuries - unless of course Rangers knew about these conditions hence we would come back to the dereliction of duty of L & L. Supposing all of these cases were won legally then we would expect to be paying no more than £100,000 for Vuckic. However, I don't think we shall see any court action, too time consuming and costly. Who would know that better than Dave King? I remember from one of the many interviews King did before or after the EGM he remarked, when asked about the imbalance of the contract between SD and RR if he would, like Somers had suggested in the past, just rip up that contract and he replied with something to the effect that MA was a shareholder and controlled a business that could be quite useful to Rangers with it's world-wide distribution outlets, and hence MA was a person that he wished to speak to going forward. I think that these loan contracts will be dealt with through discussion rather than legally, initially at least. We shall of course have to wait on the SFA completing its F & P tests on King first. I think too, that it will be quite some time before Rangers are strong enough and stable enough to take any legal action on the conduct of previous board members, and others, who may have harmed us in the past. After all, they have to find out whose fingers are in what pies, and indeed how many pies there are.

    So if I'm correct here, Bearman, what you're saying is that the present board have found a way to impel Rangers out of the dead end of Scottish football that is the Championship and into the Premiership? Would it also be true to say that you think that the vision and dynamism of this new board will be able to re-energize Rangers and hence the top division of the dead end that is Scottish football going forward? Do you also think that the positivity and promise of investment that this new board have indicated, will be perceived by the boards of the SPFL and the SFA as an example to follow? Well, Bearman, I would like to think that your visions will be fulfilled, and if I could I would like to thank you for brightening my day with your optimistic projections. Follow, follow !!
  24. I agree, but there was no outrageous false promises either. I would rate it as reasonably optimistic. He said that promotion was critical and that new signings would be made for the Premiership.
