Vote on adopting new Articles of Association for Club 1872 Dear Member, As members are aware, the process of obtaining sign off on our revised Articles of Association is proving more protracted than we had hoped. Our CIC has been an outstanding success and the Regulator has made it clear she needs time to fully consider the changes and ensure what we are proposing fits the bill. We have been seeking an indication as to when we will hear back but this has not been forthcoming. Accordingly, in order to avoid any further delay in the election process, we recommend that members vote now on whether or not to approve the attached Articles. These have been updated somewhat from the draft previously presented to accord with some initial comments from the Regulator and to reflect feedback received at the Members’ consultation and via email. If members vote in favour of adoption of the Articles, we will proceed with Board elections on the basis set out in the Articles. If approved, we will seek the Regulator’s agreement to the adoption of the Articles. If she agrees, the Articles will be adopted. If the Regulator requires any substantive changes, we will ask members to vote again before adopting such changes. We think this offers a pragmatic way through our current issue and we are keen to come up with a solution which avoids further delay to the elections. As we have no idea when the Regulator will revert to us, it is possible we may hear from her whilst this matter is out to vote. If that occurs, we shall advise accordingly.   12. RANGERS make just one change for this evening’s trip to Partick Thistle, with Josh Windass coming in to replace the injured Niko Kranjcar. Kranjcar felt something in his knee in training this week, and therefore won’t be risked for this evening’s clash in Maryhill. Beyond that, it’s the same line-up which defeated Dundee 4-1 at Ibrox Stadium last Saturday. That means it’s the now familiar-looking back five of Wes Foderingham, James Tavernier, Fabio Cardoso, Bruno Alves and Lee Wallace. Hibernian supporters have contacted the Club directly, and via their two elected Non-Executive Directors, to enquire as to the Club’s position regarding Rangers, HMRC and the use of EBTs. The Board has discussed the matter at successive Board meetings, and has come to a unanimous view. The Club had intended to make this known earlier, but a variety of factors, not least the need to focus on and conclude Hibernian business during the transfer window, delayed this. Your Board fully understands the concerns of supporters regarding this issue, on all sides of the argument. During the past six years, the matter has been interrogated by the highest courts in the land, by the SFA, and by the SPFL. In recent weeks, both the SPFL and SFA have taken extensive legal advice which does not support or encourage taking further action. The lengthy and detailed explanation of the SPFL legal advice (July 26th 2017) makes clear that this matter has now been thoroughly examined by some of Scotland’s keenest legal minds, and their opinion is that – given the rules which applied at that time - no additional sanctions could be retrospectively applied. Similar legal views have been obtained by the SFA. Both organisations have looked at the issue and at potential sanctions, and have received strong and clear legal advice. The SPFL – whilst accepting that no additional sanctions can be retrospectively applied – wants an independent review into how the issue was handled. The SFA has referred a specific aspect to its compliance officer. For all of these reasons, we also do not support the letter from the SPFL calling for a further independent review. Your Board believes our game faces a choice. We either continue to spend significant sums of money and huge reserves of time and energy to challenge already lengthy and detailed legal advice. Or, we can focus on doing all we can to invest in the future of our Club and the wider game to improve our sport, and ensure there can be no repeat of the issues raised We prefer the latter option - working to ensure that in the future our game is fairer and more open, and has the potential to secure greater commercial income to fund further improvement for the longer term. Scottish football is finally emerging from a period of significant turbulence, which has damaged the sport, into a much more exciting future. While we know this is a divisive issue that will never be resolved to the satisfaction of all supporters, we cannot allow it to divert us from the future or to keep us mired in the past. It is the view of your Board that we should focus 100% on a brighter future for Hibernian, and for the game. All of our energy will be used trying to bring future success to our own club, and to working together to create a future that all of our supporters can be proud of, on and off the pitch.

The Scottish Professional Football League called for a review in July. That followed a Supreme Court ruling in HMRC's favour in respect of EBTs. More than £47m was paid to Rangers players, managers and directors between 2001 and 2010 in tax-free loans. But HMRC argued the payments were earnings and should be taxable, eventually winning its case after two tribunals in 2012 and 2014 previously found in Rangers' favour. In a letter to member clubs, the SFA said it received correspondence from the SPFL on behalf of all 42 league clubs with "an invitation to participate in the proposed review" and that one unnamed club had also written individually to the governing body calling for the review to take place. Rangers tax case - what does it mean? Who were the EBT beneficiaries? "After careful consideration, the board of the Scottish FA has declined the invitation to participate in such a review," the SFA said in its letter. "The image of the game in Scotland can only be damaged further by 'raking over the coals' of everything that has happened in the last six years for a further lengthy period of time. "No-one is complacent or insensitive to the issues. It will be impossible to satisfy every supporter, every club official and every member club. "Nevertheless, the board of the Scottish FA is resolute. It has acted with integrity and in the best interests of Scottish football at all times." The governing body's stance would appear to rule out any football-led review into the way the Ibrox club's use of the tax scheme was handled. However, in the letter to clubs, the SFA also informed that the court testimony of two former directors of Rangers Football Club plc (Oldco) regarding "overdue payables" - in what is known as the 'Wee Tax Case' - "might have implications in the context of the Uefa licence granted in 2011". SPFL chief executive Neil Doncaster The SPFL's Neil Doncaster wanted an independent review of Scottish football governance "On the face of it, there seem to be contradictions between those statements and written representations made at the time," it stated. "In 2011, Oldco indicated there was an ongoing dispute with HMRC, but the evidence in the Craig Whyte [former Rangers owner] trial suggests that Oldco knew by early 2011 that it had no defence to HMRC's claim. "This matter has been referred to the compliance officer for further investigation following receipt of information of a written opinion from senior counsel." SPFL chief executive Neil Doncaster revealed in July that the league had taken legal advice following the Supreme Court judgement that ruled out any further sanctions on the Ibrox club by the league. The SPFL chairman, Ralph Topping, supported calls for an independent review and said the league would "seek to agree terms of reference with the Scottish FA". A 2013 Scottish Premier League commission had found that Rangers were in breach of player registration rules during the EBT period. Headed by Lord Nimmo-Smith, the commission fined the Ibrox club £250,000 but resisted calls for them to be stripped of titles won during that period. However, following the Supreme Court ruling in favour of HMRC, Celtic said they expected the SPFL to review the 2013 decision that their city rivals "did not gain any unfair competitive advantage".

  22. I don't get how a standing section would improve the atmosphere at games. It would be the same group singing the same dirges non stop for 90 minutes as at present. I actually think the present setup stops spontaneous singing from other sections of ground.
